PostGrad Terms of Service

These Terms of Service ("Terms") govern your access to and use of PostGrad ("PostGrad", "we", "us", or "our"), a service operated by PostGrad LLC, including the postgrad.io website, the Knowledge API, the MCP server, and any related services (collectively, the "Service"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.
1. Acceptance of Terms
By clicking "I Agree", typing your name, or otherwise accepting these Terms, you acknowledge that you have read and understood them and that they form a legally binding contract between you and PostGrad. If you are accepting on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.
2. Account & Eligibility
You must be at least eighteen (18) years old and capable of forming a binding contract to use the Service. You must provide accurate, complete, and current information when creating your account and keep it updated. You are responsible for safeguarding your credentials and API keys, and for all activity that occurs under your account, whether or not authorized by you. Notify us immediately at [email protected] of any unauthorized use or suspected compromise of your account.
3. Acceptable Use
You agree not to use the Service to: (a) violate any applicable law or regulation; (b) infringe the intellectual property, privacy, or other rights of any third party; (c) upload, transmit, or distribute content that is unlawful, harmful, harassing, defamatory, obscene, or that contains personally identifiable information ("PII") of third parties without lawful basis; (d) introduce viruses, malware, or other harmful code; (e) attempt to gain unauthorized access to the Service or its related systems; (f) interfere with or disrupt the integrity or performance of the Service; (g) reverse engineer, decompile, or disassemble any portion of the Service except as expressly permitted by applicable law that cannot be waived by contract; (h) use the Service to build a product whose primary purpose is to replicate or substitute for PostGrad's core knowledge-feed marketplace functionality; or (i) generate or submit content that is sexually explicit involving minors ("CSAM"), which is strictly prohibited and will result in immediate termination and reporting to the National Center for Missing & Exploited Children (NCMEC) and appropriate law enforcement authorities.
4. SMS Messaging Terms
Program Name: PostGrad Customer Care SMS Program
By submitting a form on our website and opting in to receive text messages, you agree to receive non-marketing customer care and service-related SMS/text messages from PostGrad LLC.
These messages may include customer care replies, follow-up messages related to your inquiry, account notifications, sign-in confirmations, password-reset codes, suspicious-activity alerts, verification codes, billing receipts, payment-failure notices, quota-cap warnings, and communications related to services you requested.
Message frequency may vary. Message and data rates may apply depending on your mobile carrier and plan.
You may opt out of receiving SMS messages at any time by replying STOP. After replying STOP, you may receive a confirmation message, and you will no longer receive SMS messages from PostGrad LLC unless you opt in again.

Mobile carriers are not liable for delayed or undelivered messages.
SMS messaging services are intended for users who are at least 18 years old. By opting in to receive SMS messages, you confirm that you are at least 18 years old or have permission from a parent or legal guardian.
Consent to receive SMS is not a condition of purchase or of using the Service. You may use PostGrad in full without ever opting in to SMS.

5. Intellectual Property Ownership
The Service, including all software, designs, text, graphics, APIs, documentation, and trademarks, is owned by PostGrad or its licensors and is protected by intellectual property laws. Except for the limited rights expressly granted in these Terms, no rights or licenses are granted, express or implied, by estoppel or otherwise.
6. User Content License Grant
You retain ownership of content you upload, submit, or transmit through the Service ("User Content"). By providing User Content, you grant PostGrad a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, modify, create derivative works from, distribute, and publicly display the User Content solely for the purpose of operating, providing, and improving the Service and exercising the rights set forth in any applicable Licensor Agreement.
Where a Licensor Agreement applies: If you have accepted a PostGrad Licensor Agreement, the license terms in the Licensor Agreement (including any revenue-share provisions) govern your Submissions and supersede the royalty-free grant in this Section 6 to the extent of any conflict. This Section 5 applies only to User Content that does not constitute a Submission under a Licensor Agreement.
You represent and warrant that you have all rights necessary to grant this license and that your User Content does not violate Sections 3 and 4.
7. Termination
We may suspend your access to the Service immediately and without prior notice for: (a) material breach of these Terms; (b) suspected illegal activity, including but not limited to CSAM, fraud, or intellectual property infringement; (c) conduct that threatens the security, integrity, or availability of the Service; or (d) failure to pay fees when due.
We may terminate your account for convenience upon fifteen (15) days' written notice to the email address associated with your account. If PostGrad terminates your account for convenience during a prepaid subscription period, PostGrad will issue a pro-rata refund of any prepaid and unused fees.
You may terminate your account at any time by following the instructions in the dashboard. No refund is owed for voluntary termination except as required by applicable law.
Upon termination for any reason, your right to use the Service ceases immediately. Sections 5, 6 (license survival), 8, 9, 10, 11, 12, and 13 survive termination.
8. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. POSTGRAD DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY CONTENT WILL BE ACCURATE OR RELIABLE.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL POSTGRAD, ITS AFFILIATES, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. POSTGRAD'S TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO POSTGRAD IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS.
THE LIMITATIONS IN THIS SECTION DO NOT APPLY TO: (I) YOUR INDEMNIFICATION OBLIGATIONS UNDER SECTION 9; (II) YOUR BREACH OF SECTION 3 (ACCEPTABLE USE); (III) EITHER PARTY'S LIABILITY FOR FRAUD, GROSS NEGLIGENCE, OR WILLFUL MISCONDUCT; OR (IV) LIABILITY THAT CANNOT BE LIMITED BY APPLICABLE LAW.
10. Indemnification
You agree to defend, indemnify, and hold harmless PostGrad and its affiliates from any claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any third-party right, including any intellectual property or privacy right.
Your indemnification obligations under this Section are not subject to the liability cap in Section 9 and survive termination of these Terms.
PostGrad will promptly notify you of any claim for which it seeks indemnification and will provide reasonable cooperation in the defense of such claim. You will have sole control of the defense and settlement, provided that you may not settle in a manner that imposes obligations on PostGrad or admits liability on PostGrad's behalf without PostGrad's prior written consent.
11. Governing Law
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
12. Dispute Resolution; Class Action Waiver
Any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules, in Wilmington, Delaware. YOU AND POSTGRAD AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or to prevent irreparable harm.
If the class action waiver in this Section is found to be unenforceable with respect to a particular claim, that claim (and only that claim) will be severed and may proceed in a court of competent jurisdiction, while the remainder of any dispute will proceed in arbitration.
13. Changes to Terms
We may revise these Terms from time to time. The revised Terms will be identified by an updated version number at the top of this page.
- Non-material changes (such as formatting, clarifications, or updated contact information) take effect on the date posted.
- Material changes (such as changes to dispute resolution, liability limitations, or license scope) will be communicated by email at least thirty (30) days before they take effect and will require re-acceptance through the Service before further use.
14. Force Majeure
Neither party will be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, pandemics, government action, natural disaster, fire, flood, labor disputes, infrastructure failures, third-party service provider outages, cyberattacks, or internet disruptions, provided that the affected party promptly notifies the other party and uses commercially reasonable efforts to resume performance.
15. Notices
All legal notices under these Terms must be sent in writing. Notices to PostGrad must be sent to [email protected]. Notices to you will be sent to the email address associated with your PostGrad account. Notices are deemed received on the business day after transmission by email.
16. Assignment
You may not assign or transfer these Terms or any rights or obligations under them without PostGrad's prior written consent. PostGrad may assign these Terms in connection with a merger, acquisition, reorganization, or sale of all or substantially all of its assets without your consent. Any purported assignment in violation of this Section is void.
17. Entire Agreement; Waiver
These Terms, together with the PostGrad Privacy Policy, Data Processing Addendum, and any applicable Licensor Agreement or Subscriber Agreement, constitute the entire agreement between you and PostGrad with respect to the Service and supersede all prior agreements, understandings, representations, and marketing materials. No waiver of any provision will be effective unless in writing and signed by the waiving party. A party's failure to enforce any right under these Terms does not constitute a waiver of that right.
18. Severability
If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will continue in full force and effect.
